Terms of Service

1. Acceptance of Terms

By accessing or using Footprint Funnel ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users, including business owners who create customer engagement funnels and end customers who interact with those funnels.

2. Service Description

Footprint Funnel is a multi-tenant SaaS platform that enables retail businesses to:

• Create branded, mobile-first customer engagement funnels
• Collect customer information via QR codes and web forms
• Track analytics, manage incentives, and build customer relationships
• Send automated birthday postcards and promotional materials

We may modify, suspend, or discontinue any aspect of the Service with reasonable notice when practicable.

3. Account Registration and Security

3.1 Business Owner Accounts

To use the Service, you must:

• Be at least 18 years old and legally able to enter contracts
• Provide accurate, current, and complete information
• Maintain and promptly update your details
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access

You are responsible for all activities under your account.

3.2 Account Suspension and Termination

We may suspend or terminate your account if:

• You violate these Terms or applicable laws
• Your payment fails or your account is past due
• You engage in fraudulent or abusive behavior
• We are required to do so by law

4. Billing and Payment

4.1 Pricing Plans

We offer six subscription tiers plus a trial option:

All prices are in USD and may change with 30 days' notice.

All accounts include the 100-Name Guarantee (Section 4.2), which delays recurring subscription billing until at least 100 unique contacts are collected.

4.2 100-Name Guarantee and Billing Disclosure

Footprint Funnel guarantees you'll have a fully working, functional customer engagement funnel while you build to 100 contacts. We believe in proving value before you pay ongoing fees.

All Subscription Plans Include 100-Name Guarantee

All subscription plans (Launch through Summit) include the 100-Name Guarantee:

• No recurring charges until you collect 100 unique contacts
• Full access to all plan features during your growth to 100 contacts
• Contact limits and billing begin once you reach the 100-contact threshold
• 12-week term plans renew every 84 days; annual plans renew yearly

V2 Tier System (6 Levels)

Our Growth Momentum Ladder offers six tiers designed to scale with your business:

• Launch ($149/term or $449/year): 500-2,000 contacts, perfect for starting businesses
• Grow ($249/term or $749/year): 1,000-4,000 contacts, balanced growth capacity
• Scale ($449/term or $1,299/year): 2,000-8,000 contacts, for high-volume locations
• Thrive ($749/term or $2,099/year): 3,500-14,000 contacts, established businesses
• Summit ($949/term or $2,999/year): 5,000-20,000 contacts, enterprise-level growth

Kickstart Customer Exception

If you're a Kickstart customer (already paid $99 upfront):

• You can select any subscription tier (Launch through Summit) without additional immediate charges
• Your Kickstart payment covers your initial period (up to 12 weeks or 500 contacts, whichever comes first)
• Recurring billing for your selected plan begins only when BOTH conditions are met: (1) Your Kickstart period ends, AND (2) You've collected at least 100 contacts
• If your Kickstart period ends with fewer than 100 contacts, billing remains paused until you reach 100
• This exception applies regardless of which tier or billing cycle you choose

4.3 Payment Processing

Payments are processed securely via Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred, including subscriptions and premium materials.

Important: All subscription plans (Launch through Summit) include the 100-Name Guarantee with deferred billing until you reach 100 contacts. See Section 4.2 for complete details.

Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 24 hours before renewal.

4.4 Refund Policy

Refunds are handled case-by-case. Contact support@footprintfunnel.com within 14 days of purchase to request a refund. Annual subscriptions are non-refundable after 30 days. Approved refunds are issued to the original payment method within 10 business days.

4.5 Contact Limits and Enforcement

If you reach your plan's contact limit, your funnel will pause and new submissions will be disabled until you upgrade. No overage fees apply; you control when to upgrade. Contact limits reset at the start of each billing cycle.

4.6 Plan Changes and Immediate Billing

When changing your subscription plan, you'll see a confirmation screen showing exactly when charges will occur. Here's how billing works for different plan changes:

All Subscription Plans (under 100 contacts)

• No recurring charges until 100 contacts reached
• First billing cycle begins when you hit 100 unique contacts
• Applies to all tiers: Launch, Grow, Scale, Thrive, and Summit

Plan Upgrades (after 100 contacts)

• Immediate charge upon upgrade to unlock premium features and higher contact limits
• Prorated credit applied for remaining time on current plan
• You gain instant access to new tier's capabilities and contact quota

Kickstart Customer Exception

• No immediate charge for any rollover plan selection
• Kickstart customers already paid $99 upfront for their 12-week trial
• You can select any subscription tier (Launch through Summit) as your rollover plan without additional immediate billing
• Recurring billing for your selected plan begins only after your Kickstart period ends AND you've reached 100 contacts

Tier Upgrades (100+ contacts already collected)

• Immediate charge with new contact limits activated
• Pro-rated credit applied for unused time on your current plan
• New billing cycle begins immediately at the upgraded tier

Downgrades or Billing Frequency Changes

• Take effect at next billing cycle, no immediate charge
• Continue enjoying current plan benefits until cycle ends
• New rate applies starting your next renewal date
• Confirmation email sent with exact transition date

Important: All plan changes display a clear confirmation screen before processing. Review carefully to understand when you'll be charged.

5. Acceptable Use Policy

You agree not to:

• Violate laws or regulations
• Infringe intellectual property rights
• Transmit malware or malicious code
• Attempt unauthorized access
• Use the Service for spam or unsolicited communication
• Collect or scrape data from other users' funnels
• Reverse engineer or redistribute the Service
• Impersonate others or provide false information

Violations may result in immediate termination without refund.

6. Intellectual Property

6.1 Our Rights

Footprint Funnel, its logos, and related marks are our property. The Service—including software and designs—is protected by law.

6.2 Your Content

You retain ownership of content you upload (logos, text, customer data). You grant us a limited license to use it solely to operate the Service.

6.3 Customer Data and Processing

You own all customer data collected through your funnel ("Customer Data"). Footprint Funnel acts only as a data processor and processes Customer Data as necessary to provide the Service. You represent that you have obtained all necessary consents. We do not sell or share Customer Data with third parties for marketing purposes.

7. Third-Party Integrations

The Service integrates with Stripe for secure payment processing. Your use of Stripe is subject to its own Terms of Service and Privacy Policy. Footprint Funnel does not store or have access to your complete payment details.

8. Data Privacy and Security

Our collection and use of personal information is governed by our Privacy Policy. We store all customer and account data on secure cloud infrastructure located in the United States. We may use trusted service providers to assist in operating, maintaining, and improving the Service, but they act only under our instruction and may not use or share data for any other purpose.

You are responsible for:

• Obtaining customer consent before collecting data
• Complying with privacy laws (GDPR, CCPA, etc.)
• Providing your own privacy notice to customers
• Securing your account credentials

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. This includes warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted use, or accuracy of results.

10. Limitation of Liability

To the maximum extent permitted by law, Footprint Funnel shall not be liable for:

• Indirect or consequential damages
• Loss of profits, data, or business opportunities
• Service interruptions or unauthorized access

Total liability for any claim shall not exceed the greater of $100 USD or the amount paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Footprint Funnel and its officers, directors, and employees from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms or laws
• Content or customer data you submit
• Failure to obtain customer consent

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Contact legal@footprintfunnel.com before filing any claim. We'll attempt good-faith resolution within 30 days.

12.2 Binding Arbitration

If unresolved, disputes shall be settled by binding arbitration under the American Arbitration Association (AAA) rules in Forsyth County, North Carolina, unless otherwise agreed. You waive the right to a jury trial or class action.

12.3 Exceptions

Either party may seek injunctive relief for intellectual-property infringement or unauthorized access.

13. Termination

13.1 By You

You may cancel any time via account settings. Cancellation takes effect at the end of the current billing cycle.

13.2 By Us

We may terminate your account immediately if you violate these Terms, or discontinue the Service with 30 days' notice.

13.3 Effect of Termination

Upon termination:

• Your access is disabled immediately
• You may request a data export within 30 days
• Data is deleted after 30 days unless retention is legally required

Sections 6, 9, 10, 11, and 12 survive termination.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated by email or in-app notice at least 30 days before taking effect. Continued use after that date constitutes acceptance. If you disagree, you may cancel for a prorated refund of prepaid fees.

15. General Provisions

• Governing Law: North Carolina (USA); venue in Forsyth County.
• Entire Agreement: These Terms and our Privacy Policy form the full agreement.
• Severability: Invalid provisions don't affect the remainder.
• Assignment: You may not transfer rights without our consent; we may assign freely.
• Force Majeure: We aren't liable for delays beyond our control.
